1. Acceptance of Terms

By accessing or using the Dockria EDMS website at www.dockria.com (the "Website") and any associated services provided by Domino Systems Limited ("Company", "we", "our", or "us"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Website or services.

These Terms apply to all visitors, users, and others who access or use the Website.

2. About the Service

Dockria EDMS is an enterprise document management system developed and operated by Domino Systems Limited, a company registered in Kenya. The Website provides information about the Dockria EDMS product, its features, solutions, and compliance capabilities, and allows prospective clients to request product demonstrations and contact our team.

3. Use of the Website

3.1 Permitted Use

You may use this Website for lawful purposes only. You agree not to use the Website:

  • In any way that violates any applicable national or international law or regulation
  • To transmit or procure the sending of any unsolicited or unauthorized advertising or promotional material
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website

4. Demo and Trial Access

We may offer product demonstrations or trial access to Dockria EDMS at our discretion. Demo or trial access:

  • Is provided for evaluation purposes only and does not constitute a license to use the software in production
  • May be subject to additional terms communicated at the time of access
  • May be limited in duration, functionality, or capacity
  • May be terminated by us at any time without prior notice

5. Enterprise Software License

Use of the Dockria EDMS software in a production environment is governed by a separate Master Subscription Agreement (MSA) or Enterprise License Agreement (ELA) executed between the Company and the subscribing organization during client onboarding. These Terms do not govern the use of the Dockria EDMS software itself.

6. Intellectual Property

The Website and its entire contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio, video, software, and the underlying code — are owned by Domino Systems Limited and are protected by copyright, trademark, patent, and other intellectual property laws of Kenya and international conventions.

The Dockria name, Dockria EDMS logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Domino Systems Limited. You must not use such marks without our prior written permission.

7. User-Submitted Content

Any information, feedback, suggestions, or materials you submit through the Website (excluding personal data governed by our Privacy Policy) may be used by us without restriction for any purpose, including product improvement, marketing, or development. You represent that you have the right to submit such content and that it does not infringe upon any third party's rights.

8. Third-Party Links

Our Website may contain links to third-party websites or services that are not owned or controlled by Domino Systems Limited. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access third-party sites at your own risk.

The Website is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Information on the Website is for general informational purposes and does not constitute professional advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Domino Systems Limited, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, revenue, data, or business opportunities
  • Loss of goodwill or reputation
  • Cost of procurement of substitute goods or services
  • Any other intangible losses

arising from your access to or use of, or inability to access or use, the Website or services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Domino Systems Limited and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Website.

12. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Website will cease immediately.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Nairobi, Kenya, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, either party may submit the matter to mediation under the Mediation Act of Kenya. If mediation is unsuccessful, the dispute shall be referred to arbitration in Nairobi under the Arbitration Act, 1995 (Laws of Kenya).

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Domino Systems Limited regarding the use of the Website. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

17. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Website after any changes constitutes acceptance of the new Terms.
